About the Role

This role offers a strategic opportunity to contribute to the efficient and compliant operation of our corporate secretarial functions. You will play a pivotal part in supporting the management of corporate entities, ensuring adherence to legal and regulatory requirements, and providing essential administrative support to our fund administration processes. Your expertise will be crucial in maintaining the integrity and smooth functioning of our corporate structures.

Key Responsibilities

  • Manage and maintain corporate records for a portfolio of entities, ensuring accuracy and compliance with relevant laws and regulations.
  • Assist in the preparation and filing of statutory documents, including annual returns and other regulatory submissions.
  • Provide administrative support for board meetings, including minute-taking, agenda preparation, and coordination of meeting logistics.
  • Coordinate with external service providers such as auditors, lawyers, and corporate service providers to ensure seamless operations.
  • Support the implementation and maintenance of corporate governance policies and procedures.
  • Assist in the administration of fund structures, including the preparation of necessary documentation for fund launches and ongoing compliance.

Requirements

  • Minimum of 5 years of relevant experience in corporate secretarial, legal, or compliance roles, preferably within the fund administration or financial services sector.
  • Proven experience managing corporate records and ensuring compliance with corporate governance standards and regulatory requirements.
  • Strong understanding of corporate law, particularly in jurisdictions relevant to fund administration (Bermuda experience is advantageous).
  • Excellent organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.
  • Proficiency in Microsoft Office Suite, particularly Excel and Word.
  • Ability to work independently and collaboratively within a team.
